Terms of Service

1. Acceptance of Terms

By accessing or using the Hopgraph API, MCP server, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Hopgraph provides a business verification and entity intelligence service that aggregates publicly available data from Australian and New Zealand government registers. The Service enables users to query company registration status, officer information, regulatory licence status, and related attributes across multiple government datasets.

3. Public Data Disclaimer

The Service presents data sourced from publicly available government registers, published under open data licences including the Creative Commons Attribution 3.0 Australia licence (CC BY 3.0 AU). Sources include but are not limited to:

  • The New Zealand Business Number Register (NZBN), maintained by the Ministry of Business, Innovation and Employment (MBIE)
  • The Australian Business Register (ABR), maintained by the Australian Taxation Office (ATO)
  • ASIC company, business name, financial adviser, AFS licence, credit licence, credit representative, and banned/disqualified persons registers

Hopgraph does not generate, create, or certify the underlying data. The accuracy, completeness, and currency of all data is subject to the practices of the relevant government register.

4. Name Matching Disclaimer

Verification results are produced by name-matching algorithms that cross-reference data across public registers. Findings are factual observations based on name matching and are not identity assertions. A match does not confirm that a person or entity is the same individual or organisation as the named subject of a record. A non-match does not confirm the absence of a regulatory finding.

Hopgraph makes no representation or warranty that any verification result is accurate, complete, or free from false positives or false negatives.

5. Professional Judgment

The Service is designed to support, not replace, professional due diligence. Users are solely responsible for the professional judgments, decisions, and actions they take based on Service outputs. Hopgraph does not provide legal, financial, compliance, or investment advice. Output from the Service should be considered one input among many in any compliance or due diligence process.

If your use case involves regulated activities — including but not limited to anti-money laundering (AML) checks, know-your-customer (KYC) processes, or credit decisions — you remain responsible for compliance with all applicable laws and regulations.

6. Data Freshness

Data presented by the Service is ingested from government sources on a scheduled basis and cached for performance. Cached data may not reflect changes made to government registers since the last ingestion cycle. Each verification response includes a data_as_of timestamp indicating the freshness of each data source consulted.

Hopgraph is not liable for any loss or damage arising from reliance on data that has become stale between ingestion cycles.

7. Prohibited Uses

You must not use the Service for any of the following purposes:

  • Harassment or stalking: Querying the Service to locate, monitor, or target individuals for harassment, intimidation, or unwanted contact
  • Discrimination: Using Service output to make decisions that unlawfully discriminate on the basis of any protected characteristic
  • Bulk scraping: Automated or programmatic querying designed to extract, copy, or replicate the underlying dataset in whole or in substantial part
  • Redistribution of raw data: Reselling, sublicensing, or redistributing raw government register data obtained via the Service, except where expressly permitted under the applicable open data licence
  • Unlawful purposes: Any use that violates applicable law, regulation, or third-party rights
  • Interference: Attempting to circumvent rate limits, authentication controls, or other technical measures

Hopgraph reserves the right to suspend or terminate access for any user found to be in breach of these prohibitions.

8. NZBN Data — MBIE Compliance Flow-Down

Use of data sourced from the New Zealand Business Number Register is subject to the NZBN API Terms and Conditions published by MBIE. By using any Service output derived from NZBN data, you agree to be bound by the equivalent use restrictions imposed by MBIE, including clause 4.11 of the NZBN API agreement, which prohibits:

  • Use of NZBN data in a manner that could bring MBIE or the NZBN register into disrepute
  • Combining NZBN data with other data in a way that creates a misleading impression
  • Any use that would constitute a breach of the Privacy Act 2020 (NZ)

These restrictions apply in addition to, and not in lieu of, the restrictions set out elsewhere in these Terms.

9. API Keys and Access

Access to the Service requires a valid API key issued by Hopgraph. You are responsible for maintaining the confidentiality of your API key. You must not share your API key with third parties or embed it in publicly accessible code repositories.

Hopgraph reserves the right to revoke API keys at any time, with or without notice, for breach of these Terms or for any other reason at Hopgraph's discretion.

Free tier usage is subject to monthly verification limits as published on the Hopgraph pricing page. Exceeding these limits will result in access being suspended until the next billing period.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranty of any kind, express or implied
  • Hopgraph expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Hopgraph shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or in connection with your use of the Service
  • Hopgraph's total aggregate liability for any claim arising out of or relating to the Service shall not exceed the amount paid by you to Hopgraph in the twelve months preceding the claim, or NZD $100, whichever is greater

Nothing in these Terms excludes liability that cannot be excluded under applicable consumer protection law.

12. Changes to These Terms

Hopgraph may update these Terms from time to time. We will notify registered users of material changes by email. Continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of New Zealand. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
